Acceptance of Terms

By creating an account, accessing our website, or using any of our Services, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms in full. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Services Description

Chittaa Labs provides AI Agent Workflow design, engineering, and consulting services, as well as the Hellocaller AI First Call Center Platform (CPaaS). Our Services include:

• Custom AI agent workflow architecture and implementation
• Access to the Hellocaller CPaaS platform — AI First Call Center for voice & messaging
• Consulting and advisory services related to AI workflow strategy
• Access to our website, documentation, and related materials

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice where practicable.

User Accounts

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials and not share them with others
• Promptly notify us of any unauthorised access or suspected breach of your account
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, pose a risk to the Services or other users.

Acceptable Use

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit unlawful, harmful, defamatory, or fraudulent content
• Attempt to gain unauthorised access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to build a competing product or service without prior written consent
• Automate access to the Services in a manner that exceeds reasonable usage or causes undue load
• Submit content that contains malware, viruses, or other malicious code

AI Workflow Usage & Limitations

Our AI Agent Workflows rely on third-party LLM providers. By using these features, you acknowledge:

• AI outputs may be inaccurate, incomplete, or not suitable for your specific use case — you are responsible for reviewing and validating all AI-generated outputs before relying on them.
• You must not use AI workflows to generate illegal content, engage in deception, or harm individuals or organisations.
• Chittaa Labs is not liable for decisions made based on AI workflow outputs.
• Third-party LLM provider terms apply to their respective model usage within our workflows.

Intellectual Property

All content, software, designs, trademarks, and materials on our Services are owned by or licensed to Chittaa Labs Private Limited and are protected under applicable intellectual property laws.

You retain ownership of content you submit to our Services. By submitting content, you grant Chittaa Labs a limited, non-exclusive, royalty-free licence to process and use that content solely to provide the Services to you.

You may not copy, reproduce, modify, or distribute our proprietary materials without express written permission.

Payment & Subscriptions

Certain Services may require payment. By subscribing or making a purchase, you agree to:

• Pay all applicable fees as described at the time of purchase, in US Dollars (USD) unless otherwise stated
• Provide accurate and complete billing information
• Authorise us to charge your chosen payment method for recurring fees where applicable

Refund eligibility will be determined on a case-by-case basis. Please contact us within 7 days of a charge if you believe it was made in error.

Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

Limitation of Liability

To the fullest extent permitted by applicable law, Chittaa Labs Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from or related to the Services shall not exceed the amount paid by you to Chittaa Labs in the twelve (12) months preceding the claim.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

We encourage you to contact us first to resolve any concerns informally before initiating formal proceedings.

Termination

Either party may terminate access to the Services at any time. We may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide reasonable notice of significant changes via email or a prominent notice on our website. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
